Law Firm Agreement
Version: 1.0
This Agreement is between Advora Legal, Pakistan ("Advora", "we") and the law firm that accepts it ("Firm", "you"). It applies to your firm workspace from the moment your owner accepts it, and it applies in addition to our Terms & Conditions and Privacy Policy. If they conflict on a firm workspace, this Agreement wins.
The three things you must understand
1. We are not liable. Advora provides software and nothing else. We are not your lawyer, adviser, or record keeper. To the maximum extent permitted by law, we accept no liability for your cases, your clients, your deadlines, your data, or anything your firm does with the workspace.
2. Your data is encrypted, and access is under your control. Case files are encrypted with your firm's own key. Your firm decides who can see them, and our staff have no default access. We hold the keys so the service can run, and we do not offer a way to recover data once it is deleted.
3. Your people are your responsibility. Everyone you invite acts on your behalf. Who has access, what they do with it, and removing them when they leave are entirely your responsibility.
1. Authority to accept
1.1 The person accepting this Agreement confirms they are authorised to bind the Firm. Each new version must be accepted by the Firm's owner before the workspace can continue to be used.
1.2 We keep a record of who accepted, which version, when, and from which IP address.
2. What we provide
2.1 We provide case-management software on an "as is" and "as available" basis. We do not give legal advice, supervise your work, or check your records.
2.2 Reminders and calendars are a convenience only. You alone are responsible for every hearing, filing, limitation period, and deadline.
3. Your data and your duties
3.1 You own your data and decide what goes into the workspace. You are the controller of that data, and we store it on your instructions.
3.2 You are solely responsible for your professional, confidentiality, privilege, data-protection, and record-retention duties, and for having the right to upload information about clients and other people.
3.3 We may disclose data where the law or a court or authority requires it. Where we lawfully can, we will tell you first.
3.4 No system is completely secure. You are responsible for keeping your own copies of anything you need, using the export tools before you need them.
4. Your people and your clients
4.1 You control who is an owner, admin, lawyer, or staff member, and which cases they can see. Everything done through your members' accounts is treated as done by the Firm.
4.2 You must remove access promptly when someone leaves or should no longer have it, and keep sign-in details secure. We are not responsible for misuse, leaks, deletion, or loss caused by anyone you gave access to, including former employees.
4.3 You decide which clients to invite and what to share with them. You are responsible for what you share and for correcting a mistake.
5. Deleting your firm
If your firm is deleted, everything goes, immediately and permanently. We cannot restore it, and we are not liable for what is lost.
5.1 Only the owner can delete the firm. The owner must confirm twice and type their owner email address.
5.2 Deletion removes all cases, documents and their versions, messages, hearing records, member and client access, audit logs, and the firm's encryption keys. Clients and members lose access at the same moment.
5.3 Export anything you need first. It is your responsibility to check whether the law or your regulator requires you to keep any record before you delete it.
5.4 Deleted data stops being usable once its key is removed, and backup copies expire on their normal cycle. We keep only the invoices and payment records we must keep by law.
6. Fees, suspension and ending
6.1 Fees are set out in your order or invoice. Unpaid fees may lead to suspension.
6.2 We may suspend or close a workspace for non-payment, a breach of this Agreement, a complaint, a legal requirement, or a security risk. We will try to give notice and allow time to export, unless the law or the risk prevents it.
7. No liability
7.1 To the maximum extent permitted by law, Advora is not liable under any circumstances for any loss or damage connected with the workspace, including lost or disclosed data, missed deadlines, lost cases, professional or regulatory consequences, claims by your clients or staff, loss of profit or reputation, or any indirect or consequential loss.
7.2 If, despite this, we are found liable, our total liability for all claims is limited, to the maximum extent permitted by law, to the fees you paid us in the 3 months before the event giving rise to the claim.
7.3 Nothing in this Agreement excludes liability that the law does not allow to be excluded.
8. Your indemnity
8.1 You will defend and compensate Advora against any claim, loss, or cost arising from your use of the workspace, your data, your members, your clients, or your breach of this Agreement or of any law or professional rule.
9. General
9.1 This Agreement is governed by the laws of Pakistan. Disputes are resolved by binding arbitration seated in Pakistan and conducted in English, as set out in our Terms & Conditions.
9.2 We may update this Agreement. The new version applies once your owner accepts it, and the workspace can't continue to be used until they do.
